A company secretary is an officer responsible for a company's administration and filings — optional for a private company, compulsory and qualified for a public one.
Private companies stopped being required to appoint one in 2008, and most do not. Where one is appointed, the appointment is filed and published like a director's, and the role carries real responsibility for the registers and the filing calendar.
