Home/Glossary/Bona vacantia

Bona vacantia

Bona vacantia is the rule under which property left in a dissolved company passes to the Crown.

It catches cash balances, property, and intellectual property that nobody thought to deal with before dissolution. Recovering it usually means paying to restore the company to the register first, which costs far more than distributing the assets properly would have.
